SPONSOR. The Sponsor of the Lutefish NAMM Trip Giveaway (“Sweepstakes”) is Wenger Corporation d/b/a Lutefish (“Sponsor”), 555 Park Drive, Owatonna, MN 55060. Sponsor is free in its discretion to make use of others who might participate in administering, operating or fulfilling the Sweepstakes, including assistance with prize selection, technology, tabulation, data services, fulfillment tasks, supplying or contributing to a prize, promotion or advertising, or otherwise generating interest in the Sweepstakes (“Promotion Supporters”). The Sweepstakes is in no way Sponsored, endorsed, or administered by, or associated with Facebook, Instagram, LinkedIn, and YouTube. You understand that you are providing your information to Sponsor and Promotion Supporters and not Facebook, Instagram, LinkedIn, and YouTube.

ELIGIBILITY. Subject to the other requirements in these Official Rules, the Sweepstakes is open only to those who are: (1) legal residents of the United States or the District of Columbia; and (2) age 18 or older. Sponsor and Promotion Supporters and their respective parent companies, affiliates, subsidiaries, employees, officers, directors, agencies, partners, contractors, vendors, and the immediate family members (spouse, parents, children, siblings, and their respective spouses) and household members of each of the foregoing, are not eligible to participate. Any Sweepstakes entries received from ineligible participants will be disqualified. VOID WHERE PROHIBITED.

SWEEPSTAKES PERIOD. The Sweepstakes entry period starts on November 8, 2024, at 12:00 PM Eastern Time (ET) and ends on December 6, 2024, at 11:59 PM ET (“Sweepstakes Period”). Sponsor’s computer systems are the official time-keeping device for this Sweepstakes. All entries must be received and recorded by Sponsor during the Sweepstakes Period and must otherwise satisfy the requirements in these Official Rules, to be eligible to win.

HOW TO ENTER. To enter the Sweepstakes, eligible participants must:

Step 1) Sign up for the Sweepstakes, go to https://lutefish.com/pages/enter-to-win-a-free-trip-to-namm-2025 and completely fill out and submit the Sweepstakes Entry Form; and

Step 2) Have an active Lutefish account which includes first and last name, city and state, email address, musical instrument(s), musician rating, and profile image. To set-up a free Lutefish account, go to www.lutefish.com and ‘sign-in’ or select ‘get started‘ and follow the instructions provided, or go to https://app.lutefish.com/#/signUpEmail and complete your profile. Limit one (1) entry per person.

PRIZE. One (1) Prize consisting of a trip to the 2025 NAMM Show at the Anaheim Convention Center in California, which includes:

Roundtrip, coach class airfare for winner to Anaheim, CA, for travel between January 22, 2025, and January 26, 2025, not to exceed $1500 (ARV: $1500 USD)
Hotel accommodations for winner for up to three (3) nights during NAMM 2025, not to exceed $1000 (ARV: $1000 USD)
One (1) Visa® gift card valued at $500 for travel and meals (ARV: $500 USD)
Registration for winner to attend the 2025 NAMM Show (ARV: $150)

The approximate retail value of the Prize is $4746 USD. The Prize is non-transferable, and no substitutions, vouchers, coupons, or cash equivalents are available or allowed. Sponsor will arrange the winner’s hotel booking in a hotel selected by Sponsor in its sole discretion. Prize excludes any additional travel-related expenses, including without limitation, baggage fees, other fees, seat upgrades, change fees, travel insurance, valet, tips, parking, airport transfers, other transportation charges, fees, taxes, upgrades, resort and hotel fees, room service charges, in-room entertainment, and incidentals, which are the winner’s sole responsibility. No transfer, assignment, cash redemption, or substitution of the Prize or any portion thereof is permitted, except by Sponsor due to availability or other circumstances. Sponsor is not responsible for rescheduling or rebooking flights or hotel accommodations, including due to airline cancellations or changes, hotel availability, winner availability, illness, disability, schedule changes, conflicts, or other circumstances affecting winner’s ability to travel or attend the 2025 NAMM Show. In the event of 2025 NAMM Show cancellation, date or location changes, or other show changes, Sponsor will not rebook or provide an alternative prize. Determination of the Prize to be awarded, and the timing, delivery, and awarding of same, will be in Sponsor’s sole discretion. Sponsor’s decisions shall be final and binding.

ODDS OF WINNING. The chances of winning the Prize will depend on the number of eligible entries received during the Sweepstakes Period.

WINNER SELECTION AND NOTIFICATION. The prospective winner will be selected in a random drawing on or about December 11, 2025, from among all eligible entries received during the Sweepstakes Period. Sponsor will notify the prospective winner via email and phone, using the contact information in the prospective winner’s Lutefish profile, within approximately 48 hours from the time the prospective winner is selected.

The prospective winner must respond and engage with Sponsor or its designee within seven (7) days of being notified, or the Prize may be forfeited, and another Sweepstakes participant chosen. The prospective winner must satisfactorily complete Sponsor’s (1) affidavit of eligibility confirming compliance with these Official Rules; and (2) Sponsor’s liability and publicity release, allowing Sponsor and Promotion Supporters to use winner’s name, likeness, and other biographical information for advertising, marketing, and other purposes. Failure to complete and return these forms may result in disqualification and forfeiture of the Prize, in Sponsor’s discretion. If a prospective winner is disqualified for any reason, Sponsor may select an alternate potential winner by random drawing from among all remaining eligible entries. If Sponsor determines, in its sole discretion, that no eligible entries, or an insufficient number of eligible entries, have been received, Sponsor reserves the right not to award the Prize, in accordance with applicable law.

Without limitation of any other affidavit or release given by a Participant, Participants consent to the use of their entry, name, voice, photograph, likeness and biographical information by Sponsor and Promotion Supporters for public relations, advertising, and promotional purposes in perpetuity, worldwide, in all media now known or later devised or discovered, without notice or compensation of any kind, in accordance with applicable law.

Winner is solely responsible for all applicable federal, state, and local taxes and any fees and expenses associated with acceptance and use of the Prize. Winner should consult a qualified tax advisor for proper tax treatment of the same. Once the Prize is accepted by the winner, Sponsor shall have no further responsibility or liability.

GENERAL. All federal, state, provincial, and local laws and regulations apply. By participating in this Sweepstakes, participants accept and agree to be bound by these Official Rules and Sponsor’s decisions, which are final and binding in all respects. Winning a Prize is contingent on fulfilling all requirements in these Official Rules to Sponsor’s satisfaction. Sponsor reserves the right to modify the rules of the Sweepstakes in any way at any time, subject to applicable laws.

Sponsor and Promotion Supporters are not responsible for late, unsent, inaccurate, unreadable, returned, duplicative, auto-generated, or incomplete entries, regardless of cause, including without limitation, due to human, computer, or technical error or methods, tampering, act of God, pandemic or force majeure, whether caused by the participant, a third party, or by any of the equipment, devices, software, mobile application or programming associated with or utilized in this Sweepstakes, or by any technical, computer, systems, network, or human error that may occur, including without limitation, in the submission or transmittal of any entry or the processing of any function on a participant’s computer system or device. Participant must notify Sponsor of any changed email address and contact information within the Sweepstakes Period to remain eligible to win based on entry. Any disputes regarding eligibility, residency, entry methods, entry content, and ownership of an e-mail account will be determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual suspected or found to be: tampering with entries, the entry process, mobile devices, computers, tabulation systems, or the operation of the Sweepstakes; acting in violation of these Official Rules or applicable laws or regulations; or acting with intent to annoy, abuse, threaten or harass any person or entity. Any use of AI technologies or of robotic, automatic, programmed, fraudulent or duplicative entry methods is strictly prohibited. Any such entries will be void and the responsible Participants disqualified. All determinations shall be in Sponsor’s sole discretion and are final and binding.

Sponsor and Promotion Supporters reserve the right but not the obligation, in Sponsor’s sole discretion, to modify, terminate, or suspend this Sweepstakes for any reason, including without limitation, due to Prize availability, cancellation or change to the 2025 NAMM Show, or should viruses, bugs, tampering, fraud, unauthorized intervention or other causes beyond their control corrupt or impair the administration, security, integrity, proper conduct or fairness of the Sweepstakes. Sponsor and Promotion Supporters are not responsible for any human, computer, or technological error that may occur in the execution and promotion of the Sweepstakes, the processing or handling of entries, or the fulfillment or delivery of the Prize.

Sponsor and Promotion Supporters are not responsible for any problem, error, omission, defect, delay, unauthorized transmission, theft, destruction, unauthorized access to, or technical malfunction of any telephone network or lines, computer online systems, servers or provider, computer equipment, mobile app, website, software, failure of any e-mail, submission or entry to be received by Sponsor due to technical problem or traffic, congestion on the internet or at any website, or any combination thereof, including any damage to participants’ devices, related to or resulting from participation in this Sweepstakes. Any attempt to deliberately damage or interfere with any website, app, or entry form or method, or use of any means, algorithm, tool, program, ai technologies, or process to interfere with or undermine the legitimate and lawful operation of this sweepstakes, may constitute a violation of criminal and civil laws. Sponsor reserves the right to seek damages from any responsible parties to the fullest extent permitted by law.

Disclaimer and limitation of liability. The Sweepstakes and prize are provided on an “as is” and “as available” basis, and Sponsor and promotion supporters hereby expressly disclaim all representations and warranties of any kind, whether express, implied or statutory, including, without limitation, warranties of title, non-infringement, merchantability, accuracy, completeness, or fitness for a particular purpose. Without limiting the foregoing, Sponsor and promotion supporters do not guarantee, warrant or represent that the Sweepstakes or prize, aspects of which are under the control of third parties, weather and travel conditions, and other circumstances beyond Sponsor’s control, will be available, unchanged, error-free, uninterrupted, protected from unauthorized access or disclosure, or free of viruses, defects, or other harmful components, or that any defects will be corrected.

Participants are solely responsible for their own actions relating to this Sweepstakes and the acceptance, possession, use or misuse of a prize, in whole or in part. The winner is solely responsible for contacting marketing@lutefish.com to have Lutefish manage his or her qualifying flight and hotel accommodations. Participants are solely responsible for their own conduct and that of any guests, including without limitation, at the NAMM show, at the hotel and airport, during travel and otherwise, in connection with the acceptance and use of the prize. All participants agree to release and hold harmless Sponsor and promotion supporters, including without limitation, Facebook, Instagram, LinkedIn, YouTube, and their respective parent companies, affiliates, subsidiaries, agencies, partners, contractors, vendors, and their respective officers, directors, employees and agents, from and against any liability arising from participation in the Sweepstakes and from and against any liability arising from acceptance, possession, use or misuse of a prize, including without limitation, any claim of injury, damage, death, disability, loss or liability to person or property. Once the prize has been distributed, participants understand that there can be no claims for damages or liability of any kind against Sponsor and promotion supporters.

PRIVACY. Any personal information submitted by participants will be treated in accordance with Sponsor’s Privacy Policy https://lutefish.com/policies/privacy-policy. By participating in the Sweepstakes, and without limitation of any other affidavit or release given by a participant, each participant acknowledges that Sponsor and Promotion Supporters shall have the right to use participants’ personal information, which may include, without limitation, name, image, bio, Lutefish profile details, mailing address, telephone number, geographic or biographical information, and e-mail address, including is without limitation, in connection with the Sweepstakes and for advertising and promotional purposes.

GOVERNING LAW AND DISPUTE RESOLUTION. Except where prohibited, each participant agrees that: (a) all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participants and Sponsor and Promotion Supporters shall be governed by and construed exclusively in accordance with the laws of the State of Minnesota, without giving effect to any principles of conflicts of law of any jurisdiction; (b) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Sweepstakes or any Prize awarded shall be (i) resolved individually, without resort to any form of class action; and (ii) filed only in the federal or state courts situated in Minneapolis, Minnesota, and participant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, and in no event shall include attorneys' fees; and (d) under no circumstances will any participant or winner be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

SEVERABILITY AND NO WAIVER. If a court of competent jurisdiction determines any provision of these Official Rules or any portion thereof to be unenforceable, such provision will be enforced to the maximum extent permissible by law, to give the intended effect thereof, and the remainder of these Official Rules will continue in full force and effect. Any failure by Sponsor or Promotion Partners to act with respect to a violation of these Official Rules does not waive its right to act with respect to that violation or subsequent or similar violations.
